Course An Introduction to Corporate Governance

Overview


This full-day course (6 hours) provides an introduction to the key aspects of corporate governance in the UK and the concepts on which it is based. It makes particular reference to the major codes and regimes applicable to companies in the UK, as well as those applying to investors. The course considers the development of corporate governance (drawing on some personal reminiscences of the speaker), the legal structures on which governance is based and the “voluntary” nature of different UK codes. It explains distinctions between governance in the commercial sector, governance in the public and not-for-profit sectors.

The course will be of benefit to all corporate lawyers, corporate governance professionals and company secretaries, as well as to company directors themselves. It will cover the following topics:

  • An introduction to the world of corporate governance, and the UK’s place in it
  • The purpose and value of good governance
  • Unlisted and smaller companies, including a look at the application and content of the IoD’s “Corporate Governance Guidance and Principles for Unlisted Companies in the UK”
  • Additional governance considerations for companies considering “listing” or “quotation”
  • The role of the FRC: the development, structure and content of the UK Corporate Governance Code, its Principles and Provisions
  • The “comply or explain” regime under the UK Corporate Governance Code, and enforcement of the Code
  • The “corporate governance statement”; reporting rules and requirements under the UK Corporate Governance Code, and other codes and regimes
  • The principal standing committees of the board: audit, remuneration and nomination committees
  • Formal Guidance published by the FRC, including its new Guidance on Board Effectiveness
  • Legal and other governance considerations affecting the shareholder relationship, including the UK Stewardship Code: its application, structure and content
  • The FRC’s Culture Project, and the development of corporate culture
  • Future developments, including the UK Government review of company law and governance
