Course Introduction to Corporate Finance


This half-day workshop provides an interactive introduction to the world of Corporate Finance with an emphasis on equity finance. It covers the key aspects of corporate finance transactions and will demystify jargon and acronyms. In addition, the workshop provides an opportunity for delegates to become familiar with corporate finance transactional material such as the LPDT Rules, prospectuses, rights issue circulars and other behind-the-scenes agreements.

The course will deal with the following:

  • Why companies decide to raise equity finance as opposed to debt finance
  • How the stock markets work
  • Who the key players are
  • Transaction types: floats, secondary issues, public takeovers (when and why are they used)
  • Key regulation (The Listing, Prospectus, Disclosure and Transparency Rules)
  • Key documentation and what it is designed to do
  • Common jargon e.g. red herring, price stabilisation, greenshoe, blue book
  • The role of solicitors in a corporate finance transaction

This is an essential overview for all those joining a corporate department in a City law firm and for in-house counsel who may be asked to provide guidance on a corporate finance transaction.
