Course UK Listed Companies Series: Equity Fundraising on the Main Market


This half-day course provides an overview of the types of equity fundraising commonly undertaken by companies with a premium listing on the Main Market of the London Stock Exchange (otherwise known as “secondary issues” to distinguish them from an Initial Public Offering or float).

The course will consider the various types of secondary fundraising i.e. Rights Issues, Open Offers and Placings (including a consideration of Cash Box Placings and Vendor Placings) together with examples of relevant documentation. During the course, delegates will take part in practical exercises and by the end of the seminar, will have completed a take-home comparison chart.

The course will deal with the following:

  • An overview of the key features of each type of secondary issue
  • A comparison of the types of secondary issue, including a consideration of the reasons for choosing one type over another
  • Shareholder approval requirements
  • Prospectus requirements
  • The timetable for each type
  • Limits on discounting, issue size and pricing
  • The role of underwriting in secondary issues
  • Recent examples, including transactional documentation
  • Recent trends in secondary issue practice.

This course is an ideal introduction or refresher for solicitors joining a City corporate department or in-house counsel advising a listed company or listed company shareholder. This course is also very beneficial for company secretaries wishing to have a greater appreciation for their listed clients' activities.
